Акція як символічний оборотоздатний об’єкт прав

Abstract

У статті досліджуються проблеми правової природи акції. Робиться висновок про те, що акцію доцільно розглядати як символічний оборотоздатний об’єкт - знак корпоративних прав, «безтілесну річ», що об’єктивована та існує у формі електронного запису на рахунку в цінних паперах. Водночас акція є еквівалентним субститутом вкладу учасника, але не може розглядатися як знак вкладу, оскільки повністю заступає місце вкладу в межах його вартості, але не представляє його в майбутньому. Частка у статутному капіталі й акція співвідносяться як рід і вид: акції є видом часток і водночас цінними паперами.

The problems of the legal nature of the stock are investigated in the article. The author makes the conclusion that one must regard the stock as a symbolic, transferable object which is a sign of the shareholder’s rights. It’s a res incorporales existing as a digital record at the securities account. At the same time stock is an equivalent substitute of the shareholder’s investment. A share and a stock may be regarded as the general and the particular, so a stock is a kind of share and at the same time it is a kind of securities.
